Public Offer
for Voluntary Charitable Donation
1. GENERAL PROVISIONS
1.1. This public offer for a charitable donation (hereinafter referred to as the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine, is a proposal by the Charitable Organization "Charity Fund 'Wheel of Support'", legal entity identification code 45315798, located at: Ukraine, 21022, Vinnytsia region, Vinnytsia district, Vinnytsia city, 55-V Zarychna Street (hereinafter referred to as the "Fund"), represented by the Director of the Fund Ihor Liubovskyi, acting on the basis of the Statute, to an unspecified number of capable individuals and private legal entities who voluntarily engage in charitable activity (each hereinafter referred to as the "Donor") to conclude an agreement on the provision of a charitable donation (hereinafter referred to as the "Agreement") under the terms described in this Offer, with each Donor who accepts it.
1.2. This Offer becomes effective upon its publication on the Fund's website on the Internet at the following address: https://kolesopidtrymku.com.ua (hereinafter referred to as the "Website"). This Offer is indefinite and may be amended or withdrawn by the Fund at any time (before its acceptance by the Donor) by posting the relevant information on the Website.
1.3. The Fund may enter into agreements for charitable donations in a different manner and/or on different terms than those provided in this Offer. The Donor may contact the Fund separately to enter into such an agreement.
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the free and voluntary transfer by the Donor of funds to the ownership of the Fund as a charitable donation for the implementation of the Fund's statutory activities. The Donor independently determines the amount of the charitable donation. The Fund independently determines the directions of use of the charitable donation within its statutory activities, unless otherwise specified by the Donor in the manner defined by this Agreement. The subject of this Agreement does not involve obtaining profit by either Party.
2.2. The transfer of funds by the Donor under this Agreement is considered a charitable donation pursuant to Article 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations."
2.3. If desired, the Donor may indicate the specific purpose of the donation by choosing from among the programs, projects, or goals announced by the Fund.
3. FUND ACTIVITIES
3.1. The Fund carries out charitable activities in accordance with its Statute, particularly in the field of strengthening the country's defense and mobilization readiness in connection with the military aggression of the Russian Federation.
3.2. The Fund's activity is not aimed at generating profit.
3.3. Information about the Fund's activities and reports on the results are posted on the Website.
4. DONATIONS
4.1. The Donor independently determines the amount of the charitable donation.
4.2. The charitable donation is voluntary and non-refundable.
4.3. According to this Offer and Agreement, charitable donations are provided by Donors and used by the Fund to conduct and support charitable activities (implementation of the Fund's charitable goals and programs) in accordance with the Statute and Ukrainian law. The Donor agrees to this targeted use of their donation.
4.4. Donation methods:
One-time payment;
Subscription, which provides for monthly/annual payments in any amount.
The subscription can be canceled at any time through the user's bank services (e.g., Privat24, Apple Pay, Google Pay, etc.).
5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Fund undertakes to use the Donor's donation strictly in accordance with Ukrainian law and only within its statutory activities.
5.2. The Fund has the right to independently determine the use of the donation within its statutory activities and Ukrainian law, unless the Donor has specified a particular purpose in a separate agreement with the Fund. If the Donor does not indicate a specific purpose, the donation is considered to be made for the general statutory activities of the Fund.
5.3. The Donor has the right to receive information on the use of their donation. For this purpose, the Fund may publish monthly financial reports on the Website, including (i) amounts of donations received during the reporting period and (ii) Fund expenditures during the same period. Upon written request, the Fund may confirm targeted use with additional documents. Access to donation usage reports is provided in accordance with Ukrainian law and this Offer.
5.4. By making a donation, the Donor unconditionally confirms: (i) their legal capacity, (ii) the voluntariness of the transaction, and (iii) that the donated funds are not subject to prohibition, arrest, lien, or third-party rights, and were not obtained in violation of Ukrainian anti-money laundering, terrorism financing, or WMD proliferation laws. If the Fund has reasonable doubts, it may request and the Donor must provide supporting documentation.
6. ACCEPTANCE
6.1. Acceptance is the full and unconditional acceptance of the Offer by making a money transfer via the payment forms and methods on the Website or by transferring funds to the Fund's account via a bank. The moment of Acceptance is the date of the transfer or crediting of funds to the Fund's account.
6.2. Acceptance of the Offer means the Donor agrees to all its terms, fully understands and agrees with the subject and purpose of the Agreement, including the Fund's right to use part of the donation for administrative expenses as allowed by Ukrainian law.
6.3. The Donor and the Fund, guided by Articles 639, 641, and 642 of the Civil Code of Ukraine, agree that the Agreement is considered concluded from the moment of Acceptance. The lack of a written form does not affect the validity of the Agreement.
6.4. The Fund processes the Donor's personal data provided while visiting the Website and/or making a donation (hereinafter – personal data) for the proper implementation of this Agreement and its statutory activities. More information is available in the Privacy Policy.
7. FINAL PROVISIONS
7.1. The relationship between the Donor and the Fund is governed by current Ukrainian law.
7.2. The Fund's liability for violation of this Agreement or donation usage is determined by Ukrainian law.
7.3. Any disputes between the Parties should be resolved through negotiation. If unresolved, disputes will be considered in court as per Ukrainian law.
